Contractor Terms of Participation

Section 1

Overview and acceptance

These Contractor Terms of Participation ("Terms") govern your access to and use of the MyBuildHub platform ("Platform"), operated by MyBuildHub LLC ("MyBuildHub," "we," "us"). By submitting an application, accepting an approval email, or accessing the Platform in any capacity, you agree to be bound by these Terms in full.

MyBuildHub is a pre-qualified contractor matching platform that connects licensed construction and design professionals with homeowners on Maui, Hawaii. The Platform is homeowner-first by design: homeowner identity and contact information are protected until the homeowner selects a contractor. These Terms exist to maintain the integrity of that model and to protect all parties on the Platform.

We may update these Terms from time to time. Material changes will be communicated by email to your registered address. Continued use of the Platform after the effective date of any update constitutes acceptance of the revised Terms.

Section 2

Eligibility and license requirements

To join and remain active on the Platform, you must at all times:

  • Hold a current, active Hawaii DCCA contractor or design professional license in good standing (B, C, RA, PE, or equivalent as applicable to your trade).
  • Maintain general liability insurance in an amount appropriate to your project scale, and provide a current certificate of insurance upon request.
  • Notify MyBuildHub immediately if your license is suspended, revoked, or lapses for any reason.
  • Ensure that all employees or subcontractors performing work on Platform-sourced projects also hold the licenses required by Hawaii law for their scope of work.

MyBuildHub reserves the right to verify license status with the Hawaii DCCA at any time and to suspend access pending verification. Misrepresentation of license status is grounds for immediate and permanent removal from the Platform.

Section 3

Platform fees

MyBuildHub charges a platform fee on projects that are awarded and contracted through the Platform. No fee is charged for submitting bids or receiving leads. Fees are calculated as a flat percentage of the total contracted project value, according to the following schedule:

For design-build engagements where a design professional and general contractor are awarded together through the Platform, a single fee is charged on the combined project value at the applicable construction tier. Design professionals receive their fee allocation per the design scope; the construction fee tier applies to the full combined value.

Fees are invoiced upon project award confirmation and are due within 14 days. Failure to remit platform fees is grounds for suspension of lead access until the outstanding balance is resolved.

Section 4

Non-circumvention clause

This section is the most important obligation you accept when joining MyBuildHub. Read it carefully.

Non-circumvention clause — Section 4.1

For a period of 24 months from the date on which MyBuildHub first introduces you to a homeowner — defined as the date on which a homeowner's contact information or project address is disclosed to you through the Platform — you agree not to, directly or indirectly:

(a) Direct contact. Contact, solicit, or communicate with that homeowner outside of the MyBuildHub Platform for any construction, design, or property improvement purpose, whether or not related to the original project lead.

(b) Referrals off-platform. Refer that homeowner to any other contractor, subcontractor, designer, or trade professional for work at the same property or any other property owned or controlled by that homeowner, except through the MyBuildHub Platform.

(c) Follow-on projects. Bid on, accept, or perform any follow-on, additional, or subsequent project at the same property or for the same homeowner without routing that project through the Platform and paying the applicable platform fee.

(d) Subcontractor arrangements. Engage, employ, or refer any subcontractor or third party who then directly contracts with, or is introduced to, that homeowner in a manner that bypasses the Platform and its fee structure.

This obligation survives termination of your Platform access. It applies regardless of how the subsequent work is structured — whether as a new contract, a change order framed as a separate project, a verbal agreement, or any other arrangement.

What this does not restrict. The non-circumvention clause does not prevent you from communicating with a homeowner through the Platform's built-in messaging tools, performing work on a project that was properly awarded and fee-paid through the Platform, or receiving referrals from sources entirely unconnected to MyBuildHub.

Consequence of violation. Any breach of Section 4.1, including any of subsections (a) through (d), will result in immediate and permanent revocation of Platform access with no refund of any fees paid. MyBuildHub reserves the right to pursue additional remedies available under Hawaii law, including recovery of the platform fee that would have applied to the circumvented work.

Section 5

Conduct and platform standards

MyBuildHub maintains quality standards to protect homeowners and the platform's reputation. As a participating contractor or design professional, you agree to the following:

  • Do not attempt to identify homeowners before they select you. Project briefs are anonymized deliberately. Using publicly available records, mapping tools, permit databases, or any other method to identify a homeowner before selection is a violation of these Terms.
  • Do not submit bids you do not intend to honor. Submitting bids to gather market intelligence, without genuine intent to perform the work, is prohibited.
  • Do not misrepresent your capacity, team size, or qualifications in your profile, bid submissions, or any communications with homeowners or MyBuildHub.
  • Respond to lead notifications within 48 hours. Consistent non-response will result in reduced lead priority or suspension of access.
  • Notify MyBuildHub of any dispute or complaint from a homeowner arising from a Platform-sourced project within 5 business days of becoming aware of it.
  • Keep your profile information current. License renewals, insurance updates, capacity changes, and service area changes must be reflected in your profile within 30 days of the change.
Section 6

Lead access and bidding process

MyBuildHub operates a protected bidding process. Homeowner identity — including name, contact information, and full property address — is withheld from all contractors until the homeowner selects one contractor to move forward with. You will receive sufficient project detail to prepare a meaningful bid without receiving identifying information.

Lead distribution is at MyBuildHub's discretion and may be based on factors including license type, service area, project type match, response rate, and availability as indicated in your profile. MyBuildHub makes no guarantee of a minimum number of leads per month.

You may decline a lead without penalty. Consistently declining leads in a category you have listed as a specialty may result in adjustment of your lead preferences.

MyBuildHub does not guarantee that a homeowner will select any contractor, proceed with a project, or that any bid will be accepted. The platform fee applies only when a project is contracted and awarded.

Section 7

Termination and suspension

Voluntary withdrawal. You may request to deactivate your Platform account at any time by contacting hello@mybuildhub.com. Deactivation does not affect your non-circumvention obligations under Section 4, which survive for the full 24-month period for any homeowner introductions made prior to deactivation.

Suspension for cause. MyBuildHub may suspend your access immediately and without prior notice for: license lapse or revocation; failure to maintain required insurance; non-payment of platform fees; any violation of Section 4 (non-circumvention) or Section 5 (conduct); or misrepresentation of any material fact in your application or profile.

Permanent removal. Violations of the non-circumvention clause (Section 4) result in permanent and non-reversible removal from the Platform. All other suspensions may be reviewed upon written request to hello@mybuildhub.com.

Effect of termination. Upon termination, your access to the Platform and all associated lead data is revoked. Outstanding platform fees remain due and payable. Your non-circumvention obligations survive.

Section 8

Disputes and governing law

These Terms are governed by the laws of the State of Hawaii, without regard to its conflict of law provisions. Any dispute arising under these Terms that cannot be resolved informally will be submitted to binding arbitration in Maui County, Hawaii, under the rules of the American Arbitration Association.

Before initiating arbitration, the complaining party must provide written notice of the dispute to the other party and allow 30 days for good-faith resolution. Notice to MyBuildHub should be sent to hello@mybuildhub.com with the subject line "Formal Dispute Notice."

Limitation of liability. MyBuildHub's total liability to you for any claim arising under these Terms shall not exceed the total platform fees paid by you in the 12 months preceding the claim. MyBuildHub is not liable for any indirect, consequential, or lost-profit damages.

Section 9

General provisions

Entire agreement. These Terms, together with any supplemental policies posted on the Platform, constitute the entire agreement between you and MyBuildHub with respect to your participation in the Platform and supersede any prior understandings or representations.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No waiver. MyBuildHub's failure to enforce any provision of these Terms in any instance does not waive its right to enforce that provision in the future.

Independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between you and MyBuildHub. You are an independent contractor in all respects.
